Mutual Confidentiality and Non-Circumvention Agreement
Protects the identities and information ARAM introduces, and the counterparty's own confidential information, before an introduction is made.

Terms
1. Confidential information means any non-public information disclosed by one party to the other about the Purpose, including the identities of suppliers, buyers, mines and their commercial terms.
2. Each party will use the other's confidential information only for the Purpose, will protect it with reasonable care, and will disclose it only to employees and advisers who need it and are bound by equivalent obligations.
3. Obligations do not apply to information that is public, already lawfully known, independently developed, or required to be disclosed by law or a regulator.
4. For 24 months, the counterparty will not deal directly or indirectly with any party introduced by ARAM for the Purpose, or with its affiliates, without ARAM's written consent.
5. Nothing in this agreement requires a party to breach anti-money-laundering, sanctions or anti-bribery law, or prevents a disclosure to a regulator or law-enforcement authority.
6. This agreement lasts for 24 months from signature. Governing law and forum: [to be agreed — commonly English law with arbitration, or DIFC/DMCC arbitration].
